Please read these Terms and Conditions (“Terms” or “Terms of Use”) carefully before accessing or using the website at www.riseangle.com and all related websites, software, tools, generators, apps, games, videos, content, and/or plug-ins (together the “Service”, “Content” or “Website”) or by purchasing and owning a RiseAngle Membership (“Membership” or “RAM”) or subscription made available by RiseAngle, Inc (“RiseAngle”, “us”, “we” or “our”).

These Terms also apply to any AI tools, applications, or platforms we operate or offer (collectively, the “AI Tools”), including any features that allow you to generate, edit, or otherwise create AI-based or AI-assisted outputs such as text, images, or videos (the “Assets”). By using our AI Tools, you may provide inputs to the Service (“Inputs”), and you understand that these Terms govern both the Inputs and the resulting Assets.

1. Acceptance of Terms

1.1. Minimum Age

The Service is available for individuals aged 13 years or older. If you are 13 or older but under the age of 18, you must review these Terms with your parent or guardian to ensure they understand and agree to them on your behalf. By purchasing, downloading, installing, or otherwise using the Service, you represent that you meet these age requirements. One user may have only one account, and accounts may not be shared.

1.2. Binding Agreement

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service. By accessing or using the Service you agree to be bound by these Terms, including the terms of our Privacy Policy located at https://RiseAngle.com/privacy-policy. If you disagree with any part of these Terms, you do not have permission to access the Service.

2. Rules of Conduct

By agreeing to these Terms you acknowledge that you may not:

• Impersonate another person (including celebrities) or indicate falsely that you are our employee or representative.
• Attempt to mislead users by indicating that you represent us or any of our partners or affiliates.
• Attempt to gain password, account, or other private information from any user.
• Use or distribute “auto” software, “macro” software, or other “cheat utility” programs or applications.
• Attempt to use the Service on or through any service not controlled or authorized by us.
• Interfere with our operation of the Service or another user’s use of the Service (e.g., upload or spread viruses, adware, or spyware; make unsolicited promotions; collect others’ personal information; or interfere with networks or equipment we use to provide the Service).
• Copy the look and feel of the Website.

2.1. Prohibited Content in AI Tools and Other Services

You also may not use any of our AI Tools or other Services to create, generate, upload, or distribute content (including, but not limited to, text, images, videos, and audio) that:

1. Violates the Law:
   • Depicts or involves child sexual abuse material (CSAM), terrorism, human trafficking, or illegal drug trade.
   • Constitutes non-consensual intimate imagery (“revenge porn”).
   • Is fraudulent, defamatory, or otherwise pirated/unlawful.
2. Promotes Harm:
   • Incites violence, hatred, or discrimination against protected groups (race, religion, gender, etc.).
   • Glorifies self-harm, suicide, or eating disorders.
   • Depicts extreme gore, torture, or animal cruelty.
3. Deceptive Synthetic Media:
   • Contains AI-generated depictions (“deepfakes”) of real people without a clear disclaimer that states: “This content is AI-generated and may not reflect reality.”
   • Is designed to deceive viewers regarding elections, public health, or financial markets.
4. Infringes Rights:
   • Uses celebrity likenesses, brand logos, or copyrighted material without proper authorization.
   • Creates or manipulates the likeness of any individual (public figure, celebrity, private individual) without their explicit consent.
5. Adult Content:
   • Contains pornography or explicit sexual content (unless it is clearly artistic, medical, or educational content as determined in our sole discretion).
6. Alcohol/Drugs:
   • Promotes underage drinking, illegal substances, or irresponsible consumption of alcohol or drugs.
7. Religious or Extremist Content:
   • Promotes or denigrates any religion, religious figures, or religious beliefs in a harassing, threatening, or inciting manner.

We reserve the right, but not the obligation, to monitor, remove, or refuse any content that violates these Terms or our internal policies, or that we otherwise find objectionable.

3. Intellectual Property; License to Users

3.1. Access and Use

Subject to your compliance with these Terms, you may access and use the Service solely for your own personal or internal business purposes.

3.2. Ownership

All Service content (including games, NFTs, AI Tools, software, text, images, and videos) is protected by copyright, trademark, or other intellectual property rights. RiseAngle is the rightful owner or licensee of all rights to the Service.

3.3. Future Commercialization of Our Content

Where RiseAngle creates and sells the Content (including but not limited to NFTs, AI-generated Assets, or other digital products), RiseAngle reserves all rights to future commercialization of such Content, including creating other commercial products, repurposing the Content, or selling the Content directly.

3.4. RiseAngle, Inc License

For all Content made available for download through the Membership or a subscription, RiseAngle grants you an irrevocable, perpetual, non-exclusive, royalty-free license to download, copy, modify, distribute, perform, and otherwise use the Content, including for commercial purposes, without attributing RiseAngle. This license does not include:

• The right to compile any Content to replicate a similar or competing Service;
• The right to sell copies of the Content without first updating, modifying, or otherwise incorporating new creative elements into it (e.g., selling unaltered photos, videos, or other content as prints or printed on physical goods).

4. Restrictions on use of the Service and Content

4.1. General Prohibitions

You represent and warrant that you will not:

• Impersonate any person, e.g., a representative of RiseAngle, or misrepresent your relationship with any person or entity;
• Use the Content or Website for spam, including chain letters or unsolicited bulk emails;
• Use hidden text or metatags containing “RiseAngle” or our trademarks without express written consent;
• Interfere with security features of the Service (e.g., disable or circumvent security, reverse engineer the Service’s source code);
• Interfere with the Service’s operation or another user’s use of the Service;
• Copy the look and feel of the Website.

4.2. Additional Restrictions Specific to AI-Generated Content

Notwithstanding the RiseAngle, Inc. License, you agree not to use any AI-generated content (in whole or in part) provided by our AI Tools:

• To create “deepfakes” of real persons without including a clear disclaimer stating it is AI-generated content;
• To depict, promote, or endorse the use of illegal drugs, or irresponsible or unlawful consumption of alcohol;
• In a manner that infringes upon any third party’s intellectual property or privacy rights;
• In any illegal, deceptive, obscene, or defamatory context;
• In a political context to promote, advertise, or endorse any party, candidate, or elected official, or any political policy, unless such usage is clearly labeled as AI-generated opinion or content, and does not mislead viewers into believing it is an actual endorsement by the depicted individual(s);
• To falsely represent that the AI-generated content was created by you or a person other than RiseAngle.

5. User Content

5.1. User Content Definition

The Website or Service may allow users to submit, post, generate, or create comments and content in various places (“User Content”). This includes your Inputs to our AI Tools and any Assets produced by the AI Tools that you upload, publish, or share.

5.2. License to Us

By using the Service, you grant us a worldwide, non-exclusive, royalty-free, perpetual license to:

• Host, store, transfer, display, adapt, perform, reproduce, modify, translate, and distribute your User Content in any media format.
• Use your Inputs and the resulting AI-generated Assets to improve our Services, develop new features, ensure compliance with our policies, and for other internal research and development purposes.
• (Unless you mark it as private) display your content within our platform and in marketing materials, as well as across our affiliated platforms.

You understand that we will not pay you for any use of your User Content and that your User Content may be made available to the public for their use without providing you attribution or compensation.

Note: This license does not apply to User Content that you upload or publish to third-party platforms or services (e.g., YouTube, TikTok, Instagram). Users retain full ownership and control over any content posted on external platforms. We do not modify, delete, or claim any rights to user-generated content once it is hosted off our Service.

5.3. Your Warranties

You are solely responsible for your User Content. Each time you upload, post, or generate User Content, you represent and warrant that:

• You are the creator and owner of the User Content or have the necessary rights from other parties.
• Your User Content does not infringe or misappropriate any third-party right, including copyright, trademark, privacy, publicity, or moral rights.
• Your User Content does not promote illegal or harmful activities (e.g., pyramid schemes, unpermitted endorsements, or anything else prohibited by law).
• Your User Content does not falsely imply it is sponsored or endorsed by us.

5.4. Monitoring and Removal

We do not have the practical ability to monitor all User Content. We are not liable for any User Content. However, we reserve the right (but not the obligation) to remove, edit, screen, or block any User Content for any reason, including if it violates these Terms or otherwise is objectionable in our sole discretion. You may be exposed to content from other users that is offensive, inaccurate, or indecent. You agree not to make any claims against us arising from any such content.

5.5. Grandfathering Clause

Content created or posted before the effective date of these updated Terms may be governed by the terms in effect at the time of creation, unless such content violates current law or poses a significant harm. We reserve the right to remove or restrict older content if required by law, or if it is determined to be highly objectionable under our current standards.

6. Digital Millennium Copyright Act

6.1. DMCA Compliance

We comply with the portions of the Digital Millennium Copyright Act (17 U.S.C. § 512) that apply to internet service providers. If you believe content on the Service infringes your copyright, you may contact us at https://RiseAngle.com/contact-us.

6.2. Notice Requirements

Any DMCA notice must include:

• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright;
• A description of the work claimed to be infringed;
• A description of the allegedly infringing material and its location on the Service;
• Your contact information;
• A statement that you have a good faith belief that the use is not authorized by the copyright owner or law;
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.

6.3. Repeat Infringers

We will suspend or terminate access for “repeat infringers,” meaning any user who has been notified of infringing activity more than twice or has had infringing User Content removed from the Service more than twice.

7. Violation of Terms and Termination of Use

7.1. Suspension or Restriction

RiseAngle reserves the right to restrict, suspend, or terminate your access to the Service (in whole or part) at any time, without prior notice, if we suspect you have violated these Terms or any related policy.

7.2. Additional Grounds for Termination

We may suspend or terminate your account for:

• Extended periods of inactivity;
• Risk of legal exposure;
• Creation or distribution of prohibited content;
• Any reason at our sole discretion.

7.3. Legal Remedies

We expressly reserve the right to take legal action, including claims for damages or criminal charges, for any violation of these Terms.

7.4. Survival

All provisions of these Terms that by their nature should survive termination (e.g., ownership, warranty disclaimers, indemnity, and limitations of liability) shall survive.

8. Disclaimer of Warranty; Links to other third party sites

8.1. “As Is” and “As Available”

Use of the Service and Content is at your own risk. The Service and Content are provided on an “as is” and “as available” basis. We do not warrant that the Service will be uninterrupted, error-free, or achieve any particular result.

8.2. Links and Third-Party Sites

Our Website and AI Tools may contain links to third-party websites or services that are not owned or controlled by RiseAngle. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services you visit.

8.3. Advertising

We are not responsible for third-party advertisements on the Website or for the goods or services offered therein.

8.4. No Responsibility for Technical Failures

We accept no responsibility for technical malfunctions (e.g., interruptions, server issues, viruses, or unauthorized access) that may occur in connection with the operation of our Service.

8.5. Disclaimer for AI-Generated Content

Certain aspects of the Service use AI technology to generate text, images, videos, or other Assets (“AI-Generated Content”). We make no representations or warranties regarding the accuracy, reliability, legality, or quality of AI-Generated Content. You understand and accept that AI-Generated Content may be incorrect, offensive, harmful, or otherwise objectionable. You are solely responsible for evaluating AI-Generated Content before using, sharing, or relying on it. RiseAngle shall not be liable for any damages, losses, or consequences arising out of or related to AI-Generated Content.

8.6. Publication on External Platforms

If you choose to publish, distribute, or otherwise share AI-Generated Content or other User Content outside our Service (e.g., on YouTube, social media, or other platforms), you are solely responsible for ensuring compliance with all applicable laws and the third-party platform’s terms. Once published off-site, RiseAngle takes no responsibility for that content.

8.7. Informational Use Only

Any Service is provided solely for informational purposes and should not be used as a basis for any investment or other decisions. You acknowledge that all information, including AI-Generated Content, must be independently verified or corroborated if you intend to rely on it for financial or other critical activities.

9. Privacy

Personal information gathered in connection with your use of the Service is held by RiseAngle in compliance with our Privacy Policy, which is incorporated herein by reference. Please review our Privacy Policy at https://RiseAngle.com/privacy-policy for information about how we collect, use, and protect your data.

10. Use of YouTube API Services

10.1 YouTube Integration

Our Service integrates with the YouTube Data API to allow you to upload AI-generated or other video content to your YouTube channel.

10.2 User Consent and Permissions

By using this feature, you agree to comply with the YouTube Terms of Service and Google Privacy Policy. We do not store YouTube user credentials. We access your account only as authorized by you, solely for video uploads.

10.3 Revocation

You may revoke our access to your YouTube account at any time via the Google Account Permissions page.

10.4 Limited Use Policy

Our application adheres to Google’s Limited Use Policy and does not use YouTube user data for advertising purposes or share it with third parties, except as necessary to provide the intended service.

11. Indemnification

You agree to defend, indemnify, and hold harmless RiseAngle and its employees, contractors, agents, officers, directors, licensees, and licensors from and against any and all claims, damages, liabilities, losses, or demands arising from or related to:

• Your access to or use of the Website, the Service, or the Content;
• Your violation of these Terms;
• Your infringement of any third-party right (copyright, trademark, privacy, etc.);
• Your violation of any laws or regulations;
• Any User Content you create, generate, or distribute that infringes on the rights of others or is otherwise unlawful.

This indemnification includes reasonable legal fees and costs.

12. Limitation Of Liability

To the maximum extent permitted by law, RiseAngle and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of or inability to access or use the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service;
• Unauthorized access, use, or alteration of your transmissions or content;
• Inaccurate, offensive, or otherwise problematic AI-Generated Content.

Even if a remedy set forth herein is found to have failed of its essential purpose, our total liability for any claim under these Terms shall be limited to the fees you paid (if any) to us in the 12 months preceding the event giving rise to liability (or $100 if no such fees were paid).

13. Governing Law

13.1. Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions.

13.2. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13.3. Entire Agreement

These Terms, together with any policies or legal provisions published by us (including our Privacy Policy), constitute the entire agreement between you and RiseAngle and supersede any prior agreements.

14. Arbitration

14.1. Agreement to Arbitrate

Any controversy or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

14.2. Exceptions

This arbitration provision does not apply to:

• Small claims court cases;
• Intellectual property disputes;
• Emergency injunctive relief.

15. Changes

15.1. Right to Modify

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 15 days’ notice prior to any new terms taking effect. Materiality is determined at our sole discretion.

15.2. Grandfathering Clause

• Content created before the Effective Date of any updated Terms remains subject to the Terms in effect at the time of its creation unless removal or modification is required by current law or a pressing safety concern.
• We may remove any content that violates current law or poses significant harm, even if such content was created under prior Terms.

15.3. Acceptance of Changes

By continuing to access or use the Service after any revisions become effective, you agree to be bound by the updated Terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

17.1. Supplementary Agreements

17.2. Severability

Should any part of these Terms be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect.
